Terms of Business
Definition
By commissioning services from Steph Briggs Marketing, whether for your own use or on behalf of a third party, you acknowledge that you have read and agree to be bound by these Terms of Business. These Terms form a contractual agreement between us, and all business conducted will be subject to these Terms. These Terms take precedence over any other terms, whether express or implied. I reserve the right to amend these Terms at any time without prior notice.
Quotations, Commissions & Completion
A detailed quotation and a copy of these Terms will be provided before work commences. If you agree to the costs and these Terms, please confirm by email that you are commissioning me to provide the agreed services. Quotations are based on my understanding of the project and the information available at the time, with the expectation that the scope of work remains unchanged. Should the scope change, I will discuss any potential cost or time adjustments before proceeding.
If you are commissioning work on behalf of a third party (e.g., a client), you confirm you are authorised to do so. The contract will be between me and you, not me and your client. A commission is deemed complete once delivered and no further work is requested within 14 working days.
Fees & Expenses
I typically charge a fixed fee covering all aspects of the project, including consultation, research, planning, writing, evaluation, first drafts, reasonable revisions (within 10 working days), and standard communication (e.g., UK phone, email, postage). My fee excludes travel, time spent attending face to face meetings, and any extraordinary communication or out-of-pocket expenses.
Payment Terms & Credit Policy
Please refer to my Payments Policy. I do not offer credit unless agreed in writing in advance. I am not currently VAT registered.
Late Payment
Once a project is commissioned, the agreed fee is considered incurred. You have no right to withhold or reduce payment based on feedback or critique of the delivered work. I reserve the right to pursue payment in full should you withhold payment for any reason. Payments that are overdue by more than 10 working days will incur interest as per the Commercial Debts (Interest) Act 1998, plus 8% interest above the Bank of England base rate, as well as additional charges for late payment under the Better Payment Practice guidelines.
Non-Disclosure & Confidentiality
All materials provided to or created by me will be treated as confidential. I will not disclose these to any third party without your written consent. While I am happy to sign confidentiality agreements, you acknowledge that all material provided is at your own risk, and you agree to indemnify me against any loss or disclosure claims.
Copyright & Right to Showcase
Copyright to all work remains with me until full payment is received, at which point it will be transferred to you. Unauthorised copying, modification, or distribution of my work will constitute copyright infringement. I am not liable for any copyright infringement from materials you provide. I reserve the right to showcase selected extracts of the work in my portfolio for self-promotion purposes.
Errors, Omissions & Other Literals
I make every effort to ensure all work is accurate and free of errors or omissions. However, the client is ultimately responsible for the content’s compliance with applicable laws and for ensuring they have the right to use all materials included in the work. I am not liable for any legal or financial consequences arising from the use of the content.
Revisions & Cancellations
The fixed fee includes reasonable revisions to the copy, but any significant changes to the scope of work may result in an additional charge. If you cancel the project prematurely, a kill fee of up to 50% of the full cost may be charged, based on the work completed. This will be due immediately. This does not affect your statutory rights or my guarantee regarding the quality of work.
Satisfaction & Complaints
Your satisfaction is very important to me. If you are unhappy with the work, please discuss it with me, and I will work to resolve the issue. If, after a reasonable opportunity to address concerns and up to two further drafts, you still feel the work does not meet the brief, you may cancel the contract. Written confirmation of cancellation is required. Any work completed up until that point will be charged and payable within 7 days.
Governing Law & Jurisdiction
Any agreement between us shall be governed by the laws of Scotland. Any disputes arising from this agreement will be subject to the jurisdiction of the courts of Scotland.
